1. OUR SERVICES
The information provided when using Spark Referral Partners and any associated Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. By sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submissions. We may use and disseminate such Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.
You are solely responsible for any Submissions and agree that they will comply with these Legal Terms, including the "PROHIBITED ACTIVITIES" section.
3. USER REPRESENTATIONS
By using the Services, you represent and warrant that:
you have the legal capacity and agree to comply with these Legal Terms;
you are not a minor in the jurisdiction in which you reside;
you will not access the Services through automated or non-human means (e.g., bots, scripts);
you will not use the Services for any illegal or unauthorized purpose; and
your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse any and all current or future use of the Services.
4. PURCHASES AND PAYMENT
We may accept various forms of payment (e.g., Visa, Mastercard, and other methods as indicated at checkout).
You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services and to promptly update your information (including email address, payment method, and card expiration date). Sales tax may be added where required. Prices may change at any time. All payments shall be in US dollars.
You agree to pay all charges at the prices then in effect for your purchases and authorize us to charge your chosen payment method for all such amounts. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.
We may refuse any order placed through the Services and may limit or cancel quantities per person, per household, or per order, at our sole discretion.
5. SUBSCRIPTIONS
Billing and Renewal
Your Spark Referral Partners subscription (including Premier Membership and similar recurring plans) will continue and automatically renew unless canceled in accordance with these Legal Terms. You consent to our charging your payment method on a recurring basis (e.g., monthly), without requiring your prior approval for each recurring charge, until you properly cancel.
30-Day Cancellation Notice
You may cancel your subscription at any time; however, you must provide at least thirty (30) days’ written notice prior to the desired cancellation date. Cancellation requests must be submitted by email to [email protected] from the email address associated with your account or through any designated cancellation process we provide within the Services.
Your cancellation will take effect at the end of the billing cycle that occurs at least 30 days after we receive your notice.
You remain responsible for all subscription fees incurred during the 30-day notice period.
No partial-period refunds or credits will be issued for unused time within a billing cycle.

Fee Changes
We may change subscription fees from time to time and will communicate any price changes in accordance with applicable law. Continued use of the Services after a fee change becomes effective constitutes your agreement to the new fees.
6. POLICY
All sales are final and no refund will be issued, except where required by applicable law. This includes subscription fees paid during any 30-day cancellation notice period.
7. PROHIBITED ACTIVITIES

9. CONTRIBUTION LICENSE
The "CONTRIBUTION LICENSE" section of your original terms applies to any Contributions submitted via Spark Referral Partners or other Services.
10. THIRD-PARTY WEBSITES AND CONTENT
The "THIRD-PARTY WEBSITES AND CONTENT" section of your original terms applies fully to any third-party links or content accessible through Spark Referral Partners or related Services.
11. SERVICES MANAGEMENT
The "SERVICES MANAGEMENT" section of your original terms applies to how we monitor, manage, restrict, or remove content and access within Spark Referral Partners and other Services.
12. PRIVACY POLICY

13. TERM AND TERMINATION
These Legal Terms remain in effect while you use the Services.
WITHOUT LIMITING ANY OTHER PROVISION, WE MAY, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR ANY REASON OR NO REASON, INCLUDING FOR BREACH OF THESE LEGAL TERMS OR ANY APPLICABLE LAW.
If we terminate or suspend your account, you are prohibited from creating a new account under your name or any alias. We may also pursue any other legal remedies available.
Your obligation to pay any fees accrued prior to termination (including during the 30-day cancellation notice period) survives termination.
14. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time without notice. We are not liable for any modification, price change, suspension, or discontinuance.
We do not guarantee the Services will always be available or error-free and are not liable for downtime or interruptions.
15. GOVERNING LAW
These Legal Terms and your use of the Services are governed by the laws of the State of Missouri, without regard to conflict-of-law principles.
16. DISPUTE RESOLUTION
The "DISPUTE RESOLUTION" section of your original terms (informal negotiations, binding arbitration, venue in St. Charles, Missouri, and related restrictions and exceptions) applies to Spark Referral Partners and all Services provided by Booked & Staffed LLC.
